Hi ray Mickie from Association out now we receive questions from our viewers and readers every day I'm here at Herrick Feinstein, and they're going to help us out with some of our legal questions kind of director vote for another director by proxy it's a good question we actually filled a lot of questions from clients with that precise issue the answer is likely found in the statute of the state in which that particular association is located and or in the governing documents the bylaws the Declaration of that association if the answer is located in either than that obviously is the answer I will say that it's my experience that no such provisions authorizing something like that are typically found in the declaration or bylaws and in the states in which I practice I'm not aware of any statute that authorizes it, and I'm also not aware of many clients that attempt to do it I have one client that attempted to do it in a case and a judge actually specifically found it was not authorized it's especially problematic given that trustees and directors can participate in board meetings via phone and other electronic approaches which allow board more members and directors to get the information necessary to cast the votes which then men would mean they don't need a proxy at all, so you need to look at the statutes that govern your particular state and the particular associations governing documents but in general it's its not something that's that some that's favored you
